　　聘用合同

　　甲方：中國(guó)科學(xué)院研究所

　　乙方：博士

　　1.中國(guó)科學(xué)院研究所聘請(qǐng)_______籍_____________（外文姓名）__________（譯名）女士/(先生)為訪問(wèn)學(xué)者，雙方本著友好合作精神，自愿簽訂本合同并保證認(rèn)真履行合同中約定的各項(xiàng)義務(wù)。

　　3.甲方聘用乙方為本單位訪問(wèn)學(xué)者。甲方按照研究所有關(guān)規(guī)定在合同期內(nèi)對(duì)乙方進(jìn)行管理。

　　7.甲方的義務(wù)：

　　1)向乙方介紹中國(guó)有關(guān)法律、法規(guī)和甲方有關(guān)工作制度以及中國(guó)有關(guān)外國(guó)專家的管理規(guī)定。

　　2)對(duì)乙方的工作進(jìn)行指導(dǎo)、檢查和評(píng)估。

　　3)向乙方提供必要的工作和生活條件。

　　4)為乙方配備科研合作人。

　　5)按時(shí)支付乙方的報(bào)酬。

　　8.乙方的義務(wù)：

　　1)遵守中國(guó)的法律、法規(guī)，不干預(yù)中國(guó)的內(nèi)部事務(wù)。

　　2)遵守甲方的工作制度和中國(guó)有關(guān)外國(guó)專家的管理規(guī)定，接受甲方的工作安排、業(yè)務(wù)指導(dǎo)、檢查和評(píng)估。未經(jīng)甲方書面同意，不得在甲方以外的其他單位兼職。

　　3)認(rèn)真開展本合同所約定的研究工作，保證科研工作質(zhì)量。

　　4)尊重中國(guó)的宗教政策。

　　5)遵守中國(guó)相關(guān)技術(shù)和科研保密規(guī)定，不從事與訪問(wèn)學(xué)者身份不符的活動(dòng)。

　　6)尊重中國(guó)人民的道德規(guī)范和風(fēng)俗習(xí)慣。

　　9.乙方在其受聘期科研工作基礎(chǔ)上所產(chǎn)生的科研成果所有權(quán)歸甲方，并享受甲方有關(guān)科研成果的獎(jiǎng)勵(lì)。訪問(wèn)期間取得的論文、專著、專利等科研成果均應(yīng)標(biāo)注“受中國(guó)科學(xué)院‘外籍青年訪問(wèn)學(xué)者獎(jiǎng)學(xué)金計(jì)劃’資助”。詳細(xì)約定見科研成果歸屬協(xié)議附件

　　10.乙方在聘期內(nèi)享受中國(guó)官方假期。另外，可根據(jù)乙方本國(guó)特有的節(jié)日，享受累計(jì)不超過(guò)5日的特殊假期。

　　11.乙方請(qǐng)假須向甲方提交書面申請(qǐng)，病假需憑醫(yī)院證明。假期在10日以內(nèi)薪金照發(fā)。乙方因病不能繼續(xù)本合同規(guī)定的工作時(shí)，雙方可通過(guò)協(xié)商解除聘用關(guān)系。

　　12.合同的變更、解除和終止：

　　1)雙方應(yīng)信守合同，未經(jīng)雙方一致同意，任何一方不得擅自更改、解除和終止合同。

　　2)經(jīng)當(dāng)事人雙方協(xié)商同意后，可以變更、解除和終止合同。在未達(dá)成一致意見前，仍要嚴(yán)格履行合同。

　　3)甲方在下述條件下，有權(quán)以書面形式通知乙方解除合同：

　　i.乙方不履行合同或者履行合同義務(wù)不符合約定內(nèi)容，經(jīng)甲方指出并協(xié)商后仍不改正的；

　　ii.根據(jù)醫(yī)生診斷，乙方在病假連續(xù)30天后不能恢復(fù)正常工作的；

　　4)乙方在下述情況下，有權(quán)以書面形式通知甲方解除合同：

　　i.甲方未按合同約定提供乙方必要的工作和生活條件；

　　ii.甲方未按時(shí)支付乙方報(bào)酬。

　　13.當(dāng)事人一方不履行合同或者履行合同義務(wù)不符合約定內(nèi)容，即視為違約。違約方應(yīng)當(dāng)向另一方支付________美元的違約金。乙方因不可抗力事件要求解除合同，需出具有關(guān)機(jī)構(gòu)證明，經(jīng)甲方同意后，離華的費(fèi)用自理；乙方若無(wú)故解除合同，除離華費(fèi)用自理外，還應(yīng)當(dāng)向甲方支付違約金。甲方因不可抗力事件要求解除合同,經(jīng)乙方同意后，離華費(fèi)用由甲方負(fù)擔(dān)；甲方若無(wú)故解除合同，除負(fù)擔(dān)乙方離華費(fèi)用外，還應(yīng)當(dāng)向乙方支付違約金。

　　(12)索賠：在貨到目的口岸45天內(nèi)如發(fā)現(xiàn)貨物品質(zhì)，規(guī)格和數(shù)量與合同不附，除屬保險(xiǎn)公司或船方責(zé)任外，買方有權(quán)憑中國(guó)商檢出具的檢驗(yàn)證書或有關(guān)文件向賣方索賠換貨或賠款。

　　Claims:

　　Within 45 days after the arrival of the goods at the destination, should the quality, Specifications or quantity be found not in conformity with the stipulations of the contract except those claims for which the insurance company or the owners of the vessel are liable, the Buyers shall, have the right on the strength of the inspection certificate issued by the C.C.I.C and the relative documents to claim for compensation to the Sellers

　　(13)不可抗力：由于人力不可抗力的原由發(fā)生在制造，裝載或運(yùn)輸?shù)倪^(guò)程中導(dǎo)致賣方延期交貨或不能交貨者，賣方可免除責(zé)任,在不可抗力發(fā)生后，賣方須立即電告買方及在14天內(nèi)以空郵方式向買方提供事故發(fā)生的證明文件，在上述情況下，賣方仍須負(fù)責(zé)采取措施盡快發(fā)貨。

　　Force Majeure :

　　The sellers shall not be held responsible for the delay in shipment or non-deli-very of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The sellers shall advise the Buyers immediately of the occurrence mentioned above the within fourteen days there after . the Sellers shall send by airmail to the Buyers for their acceptancea certificate of the accident. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the deliveryof the goods.

　　(14）仲裁：凡有關(guān)執(zhí)行合同所發(fā)生的一切爭(zhēng)議應(yīng)通過(guò)友好協(xié)商解決，如協(xié)商不能解決，則將分歧提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)按有關(guān)仲裁程序進(jìn)行仲裁，仲裁將是終局的，雙方均受其約束，仲裁費(fèi)用由敗訴方承擔(dān)。

　　Arbitration :

　　All disputes in connection with the execution of this Contract shall be settled friendly through negotiation. in case no settlement can be reached, the case then may be submitted for arbitration to the Arbitration Commission of the China Council for the Promotion of International Trade in accordance with the Provisional Rules of Procedure promulgated by the said Arbitration Commission . the Arbitration committee shall be final and binding upon both parties. and the Arbitration fee shall be borne by the losing parties.
