　　第九條付款條件：乙方應(yīng)通過(guò)買賣雙方同意的銀行，開立以甲方為受益的人，不可撤銷的、可轉(zhuǎn)讓和可分割的、允許分批裝運(yùn)和轉(zhuǎn)船的信用證。該信用證憑裝運(yùn)單據(jù)在中國(guó)的中國(guó)銀行見單即付。

　　該信用證必須在前開出。

　　信用證有效期為裝船后天在中國(guó)到期。

　　第十條單據(jù)：甲方應(yīng)向議付銀行提供已裝船清潔提單、fa票，裝箱單/重量單。第十一條裝運(yùn)條件：

　?、佥d運(yùn)船只由甲方安排，允許分批裝運(yùn)并允許轉(zhuǎn)船，

　?、诩追接谪浳镅b船后，應(yīng)將合同號(hào)碼、品名、數(shù)量、船名、裝船日期以電報(bào)通知乙方。第十二條品質(zhì)和數(shù)量/重量的異議與索賠：貨到目的口岸后，乙方如發(fā)現(xiàn)貨物品質(zhì)及/或數(shù)量/重量與合同規(guī)定不符，附屬于保險(xiǎn)公司及/或船公司的責(zé)任外，乙方可以憑雙方同意的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明向甲方提出異議。品質(zhì)異議須于貨到目的口岸之日起30天內(nèi)提出，數(shù)量/重量異議須于貨到目的口岸之日起15天內(nèi)提出。甲方應(yīng)于收到異議后30天內(nèi)答復(fù)乙方。

　　第十三條人力不可抗拒因素：由于人力不可抗拒事故，是甲方不能在本合同規(guī)定期限內(nèi)交貨或者不能交貨的，甲方不負(fù)責(zé)任。但甲方必須立即以電報(bào)通知乙方。如乙方提出要求，甲方應(yīng)以掛號(hào)函向乙方提供由中國(guó)國(guó)際貿(mào)易委員會(huì)或有關(guān)機(jī)構(gòu)出具的事故證明文件。第十四條仲裁：凡因執(zhí)行本合同或與本合同有關(guān)事項(xiàng)所發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)由雙方通過(guò)友好方式協(xié)商解決。如果不能取得協(xié)議時(shí)，則在被告國(guó)家根據(jù)被告國(guó)家仲裁機(jī)構(gòu)的仲裁程序規(guī)則進(jìn)行仲裁。仲裁決定是終局的，對(duì)雙方具有同等的約束力，仲裁費(fèi)用除非仲裁機(jī)構(gòu)另有約定外，均由敗訴一方負(fù)擔(dān)。

　　11.裝運(yùn)通知：一俟裝運(yùn)完畢，賣方應(yīng)即電告買方合同號(hào)、品名，已裝載數(shù)量、發(fā)票總金額，毛重，運(yùn)輸工具名稱及啟運(yùn)日期等

　　12.檢驗(yàn)與索賠

　　inspection and claims:

　　13.人力不可抗拒：如果人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負(fù)責(zé)，但賣方應(yīng)將上述發(fā)生的情況及時(shí)通知買方。

　　force majeure: the sellers shall not hold any responsibility for partial or total non-performance of this contractdue to force majeure. but

　　the sellers shall advise the buyers on time of such occurrence.

　　14.爭(zhēng)議之解決方式：

　　disputes settlement:

　　任何因本合同而發(fā)生或與本合同有關(guān)的爭(zhēng)議，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國(guó)。仲裁裁決是終局的，對(duì)雙方均有約束力。

　　15.法律適用：

　　4)保險(xiǎn)單

　　第四條設(shè)備質(zhì)量按本合同所供設(shè)備的質(zhì)量應(yīng)符合生產(chǎn)廠家的技術(shù)條件。如生產(chǎn)廠家有保證書，應(yīng)用保證書加以確認(rèn)。

　　第五條合同價(jià)格和支付條件所供設(shè)備的總額為 __________ 美元(CIF價(jià))。購(gòu)方應(yīng)在合同簽定后的 __________ 天內(nèi)開立以供方為受益人的不可撤銷的保兌信用證。該信用證在開立時(shí)起的 __________ 天內(nèi)有效。

　　第七條不可抗力在發(fā)生不可抗力情況致使合同一方不能全部或部分履行本合同的義務(wù)時(shí)，按此種不可抗力情況存在的時(shí)間推遲履行合同義務(wù)。

　　不可抗力情況是指雙方不能預(yù)見或預(yù)測(cè)的由于非常事件而出現(xiàn)的情況，即：影響履行所承擔(dān)義務(wù)的火災(zāi)、風(fēng)暴、地震和其它自然現(xiàn)象，以及戰(zhàn)爭(zhēng)、任何性質(zhì)的軍事行動(dòng)，各國(guó)政府的封鎖與制裁等。

　　因不可抗力情況而不能履行義務(wù)的一方，應(yīng)在不可抗力情況發(fā)生和停止的20天內(nèi)書面通知另一方關(guān)于其發(fā)生和停止的情況。收信人所在國(guó)郵局在收到通知函日加蓋的日期作為得悉該信息的日期。

　　協(xié)約雙方國(guó)商會(huì)出具的證明書將成為證明上述情況發(fā)生及延續(xù)時(shí)間的必要證據(jù)。

　　如有些情況延續(xù)3個(gè)多月，每一方都有權(quán)拒絕繼續(xù)履行本合同義務(wù)，同時(shí)任何一方都無(wú)權(quán)要求對(duì)方賠償可能發(fā)生的損失。

　　第八條仲裁所有可能由本合同而產(chǎn)生的糾紛或分歧均應(yīng)由合同雙方友好解決。

　　如果無(wú)法解決糾紛，則該糾紛應(yīng)提交莫斯科市原蘇聯(lián)工商會(huì)下設(shè)外貿(mào)仲裁委員會(huì)按其業(yè)務(wù)規(guī)章審理(提交一般法院審理者除外)，該委員會(huì)的決定對(duì)于雙方為終審，必須執(zhí)行。

　　第九條通知一切通知等雙方均應(yīng)按本合同條件以書面形式進(jìn)行。

　　第十條語(yǔ)言本合同用俄語(yǔ)書就。供方提供英文的全部技術(shù)資料和供貨單證。

　　第十一條其它條件自本合同簽署之日起，所有在此以前的有關(guān)談判和往來(lái)信函均告失效。

　　對(duì)本合同的任何修改和補(bǔ)充只有在以書面形式形成并經(jīng)雙方有關(guān)全權(quán)代表簽字后方能生效。
