三、咨詢服務(wù)費(fèi)
就乙方提供的'咨詢服務(wù)，甲方向乙方支付的報(bào)酬為：甲方按實(shí)際取得融資額的 %向乙方支付服務(wù)費(fèi)。服務(wù)費(fèi)在融資通過審批并取得前一次性向乙方支付。
四、乙方服務(wù)期限
乙方收取甲方按本合同約定支付的服務(wù)費(fèi)后，為甲方提供的服務(wù)至以下條件之一出現(xiàn)時(shí)止：

六、風(fēng)險(xiǎn)承擔(dān)

七、違約責(zé)任
1、甲方逾期支付費(fèi)用的，乙方有權(quán)在收到費(fèi)用前暫停履行本合同約定義務(wù)。2、甲方逾期支付服務(wù)費(fèi)的，應(yīng)按逾期支付金額每日千分之二向乙方支付違約金。3、乙方收到甲方費(fèi)用后拒不提供本合同約定服務(wù)的，應(yīng)全額退還甲方已支付服務(wù)費(fèi)。
八、爭議解決方式

3 押金 Deposit:
3.1乙方須支付相當(dāng)于兩個(gè)月房租的押金（即RMB ）, 以人民幣支票或轉(zhuǎn)帳形式支付）。甲方應(yīng)在收到押金后向乙方開具統(tǒng)一收據(jù)。
A deposit of two (2) months’ equivalent rental (RMB ) shall be paid by PARTY B in RMB by check or by bank transfer. PARTY A shall issue to PARTY B official receipt upon receiving the deposit.
3.2押金在合同終止后10天內(nèi)由甲方以相同幣種全額退還給乙方（不計(jì)利息）。如果延期返還，則每延期一日，按每日萬分之四支付給乙方利息。
The deposit shall be refundable in full amount in 10 days after the contract expiration, in same currency and excluding interest thereupon. In case PARTY A delays the refund of the deposit, PARTY A shall pay interest to PARTY B at the rate of 0.04% per day of delay.
3.3甲方應(yīng)按時(shí)付清各種帳單。若以上出租房屋及其家具、設(shè)備等因乙方原因出現(xiàn)遺失或非正常的損壞，乙方應(yīng)負(fù)責(zé)賠償。
PARTY A shall pay off on time all the bills due. In case there is any loss or unusual damage to the furnishings, contents or the rental premises due to PARTY B’ s reason, PARTY B shall compensate for it.
4 租期 Lease term:

5 出租人的責(zé)任 PARTY A’s obligation:
5.1 3甲方聲明及保證甲方為該出租房屋的合法擁有人，有合法地位出租此房屋，并就出租事宜已取得有關(guān)方面的批準(zhǔn)。
PARTY A assures to be the legal owner of the leased premises, to have the necessary legal capacity to lease it, and PARTY A’ action has been ratified by the authorities concerned.
5.2租賃期內(nèi)，若甲方出售該出租房屋導(dǎo)致該出租房屋所有權(quán)發(fā)生轉(zhuǎn)移,甲方須保證本合同能繼續(xù)執(zhí)行。
In case PARTY A sells the premises during the lease which leads to the premises ownership be transferred, PARTY A shall ensure that the said contract will be implemented continuously.
5.3甲方須按時(shí)將清潔狀況良好的出租房屋交付乙方使用，保證在租賃期內(nèi)出租房屋內(nèi)的各項(xiàng)設(shè)施能正常使用。 PARTY A shall hand over the said premises to PARTY B on time and assure the said premises will be cleaned and in good status during the lease term.
5.4甲方有義務(wù)負(fù)責(zé)出租房屋及設(shè)施的正常維護(hù)和保養(yǎng)，如房屋或設(shè)施非因甲方原因出現(xiàn)故障，甲方應(yīng)在收到乙方通知后二十四(24)小時(shí)內(nèi)自行或通過其他方式解決故障，否則，乙方有權(quán)雇傭第三方進(jìn)行維修，由甲方承擔(dān)所有費(fèi)用并承擔(dān)相關(guān)責(zé)任。由于不可抗力（如地震、臺(tái)風(fēng)、洪水、非人為的火災(zāi)等）、自然損耗或乙方以外的原因造成的損壞，亦由甲方承擔(dān)有關(guān)費(fèi)用。
PARTY A shall bear the responsibility of the said premises’ normal repairs and maintenance, and pay the cost related. In case the premises or facilities are in bad conditions not due to the reason of PARTY B, PARTY A shall complete the repair work within 24 hours upon receipt of the notice from PARTY B. Otherwise, PARTY B shall have the right to hire any third parties for the repair work at the cost of PARTY A. The cost of repairs to the said premises, if damaged by Force Majeure (such as earthquake, typhoon, flood non-man made fire, etc) reasonable wear and tear or by accidents beyond PARTY B’S control, should also be borne by PARTY A.
5.5租賃期內(nèi)，在乙方遵守合同及支付租金的前提下，未經(jīng)乙方允許，甲方不得進(jìn)入該出租房屋。
During the lease, PARTY A shall not get in the said premises without PARTY B’S permission if PARTY B has been carrying out the contract normally.
5.6甲方應(yīng)督促管理公司向乙方提供足夠的服務(wù)，如冷水、熱水、煤氣,電的供應(yīng)及各種設(shè)備的正常工作。 Party A shall direct Property Management Company to provide sufficient and continuous services to Party B, including provision of cold water, hot water, gas and electricity and ensure proper maintenance of equipment therein.
5.7 房產(chǎn)稅及與租賃有關(guān)的所有稅費(fèi)由甲方承擔(dān)。
Premises tax and other leasing related taxes shall be paid by PARTY A.
6 承租方的責(zé)任 PARTY B’S obligations:
6.1 乙方申明及保證其在中國擁有合法居留權(quán)，并按有關(guān)規(guī)定辦理必要的居住登記手續(xù)。
PARTY B assures to have the legal right of residence in China, and shall complete the residential formalities complying with the local regulations.
6.2 住客應(yīng)按時(shí)支付電話費(fèi)含上網(wǎng)費(fèi)、水電煤氣費(fèi)。
The occupant shall pay the telephone bills and internet fee, extra water electricity gas fee on time.
6.3 乙方只能將出租房屋用做住宅，不得將之用作公司及代表處的注冊(cè)地址，亦不可作為公開的辦公室。 The premises are limited for residential use only by PARTY B, and are prohibited from registering as legal address for any company or agency, or using as public office.
6.4 乙方不得在出租房屋內(nèi)進(jìn)行違反法律及政府對(duì)出租房屋用途有關(guān)規(guī)定的行為。
PARTY B shall not carry in the premises any unlawful or illegal activities which are not allowed according to the leasing regulations from the government.
6.5 租賃期內(nèi)，未經(jīng)甲方書面同意，乙方不得將出租房屋部分或全部轉(zhuǎn)租他人。
PARTY B shall not partly or totally sublet the said premises without the written permission from PARTY A.
6.6 若因乙方使用不當(dāng)或不合理使用，出租房屋及其內(nèi)的設(shè)施出現(xiàn)損壞或發(fā)生故障，乙方應(yīng)及時(shí)聯(lián)絡(luò)管理機(jī)構(gòu)或甲方進(jìn)行維修，并負(fù)責(zé)有關(guān)維修費(fèi)用.
The damage of the premises or the fittings that are within the control of PARTY B shall be borne by PARTY B, and PARTY B shall contact the management office or PARTY A instantly.
6.7 租賃期內(nèi)，乙方對(duì)出租房屋進(jìn)行裝修或增加水、電、消防等設(shè)施，須經(jīng)甲方同意并經(jīng)有關(guān)部門批準(zhǔn)，并由甲方執(zhí)行監(jiān)理，所需費(fèi)用由乙方承擔(dān)。雙方解約時(shí)，乙方不能移走自行添加的結(jié)構(gòu)性設(shè)施，甲方亦不必對(duì)上述添加設(shè)施進(jìn)行補(bǔ)償。
PARTY B, upon written permission of PARTY A, may make additions or alterations dealing with water,
electricity supply or fire protection, at his own expense, subject to necessary permits or licenses required by the authorities concerned and under the supervision of PARTY A .No structural alterations or additions can be removed from the premises upon the expiration of this contract. No reimbursement for the said additions.
6.8 乙方有權(quán)在墻壁上懸掛畫、圖片或其他裝飾性物品。合同履行期限屆滿或提前解約時(shí)，甲方應(yīng)承擔(dān)費(fèi)用拔掉釘子、粉刷墻壁或使墻壁恢復(fù)原狀，并承諾不以此為由扣留乙方的押金。
PARTY B is entitled to hang pictures, paintings or other decorative articles on the walls. Upon expiration or early termination of the contract, PARTY A shall bear the cost to remove the nails, repaint the wall or restore the wall to the original state, and PARTY A shall not retain PARTY B’S deposit for the reason of doing things above.
6.9租賃合同期滿的`前一個(gè)月內(nèi)，經(jīng)合理事先書面通知，乙方應(yīng)允許甲方或其授權(quán)人 引領(lǐng)潛在客人參觀在出租房屋。
During the last month of the contract, after reasonable prior written notice to PARTY B, PARTY A or his nominee shall be allowed to show the said premises to the potential clients.
6.10 租賃期滿，若甲，乙雙方未達(dá)成續(xù)租協(xié)議，乙方應(yīng)于租期屆滿時(shí)或之前遷離出租房屋并將鑰匙及清理干凈的房屋歸還甲方.
PARTY B shall return the premises in a clean condition to PARTY A (except wear and tear) at the expiration of the contract if there is no renewal thereupon.
7 提前解約Early termination:
7.1六(6)個(gè)月后，乙方如要退租，應(yīng)提前一(1)個(gè)月書面通知甲方終止本租約。在此情況下，甲方應(yīng)在本租約終止后十(10)日內(nèi)將押金全額退還乙方。
After six (6) months, Party B may, upon one (1) month advance written notice to Party A, terminate this
Tenancy Agreement without any liabilities. Under this circumstance, Party A shall return the deposit in full to Party B within ten (10) days after the termination.
7.2 若因自然界的不可抗力，如火災(zāi)、洪水、臺(tái)風(fēng)、地震、戰(zhàn)爭等意外損害導(dǎo)致出租房屋無法居住，合同即自動(dòng)終止，甲、乙雙方互不承擔(dān)責(zé)任。
If the said premises are so damaged by force majeure (fire, flood, typhoon, earthquake, war, and etc) that it’s no longer habitable, the contract shall be terminated automatically. Neither PARTY A nor PARTY B shall bear any responsibility to each other.
8 續(xù)租 Renewal:
租賃期滿，乙方有優(yōu)先續(xù)租權(quán)，但須提前一個(gè)月通知甲方，并安排簽訂續(xù)租合同。
PARTY B retains the priority to renew this lease upon expiration , while one-month prior notice to PARTY A is necessary, and PARTY A shall arrange the signature for the renewal contract.
9 爭議的解決 Dispute Resolution:
9．1 本合同適用法律為中華人民共和國相關(guān)法律。
The contract is governed by the laws of the People’s Republic of China.
9．2在履行本合同過程中產(chǎn)生的任何爭議由雙方協(xié)商解決，協(xié)商不成，可向中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)(北京)申請(qǐng)仲裁。
In case of any dispute arising out of the performance of this Contract, PARTY A and PARTY B shall consult
together to reach unanimity, otherwise both parties can submit the dispute to the China International Economic and Trade Arbitration Commission (Beijing) for arbitration.
10 其他Others:
10.1本合同以中英文兩種文字?jǐn)M成，兩種文本同等有效。
The contract is drawn in both Chinese and English versions. Both texts have equal effect.
10.2 本合同一式二份，甲、乙雙方各執(zhí)一份。
Two copies of the contract will be drawn and remained in the possession of PARTY A & PARTY B. 10.3本合同自簽定之日起生效。

or any explosive or combustible substance, etc. in any part of the said premises, the tenant or inmate shall not use the said premises for any illegal purposes, for violation against the law of People’s Republic of China in any part of the said property, Party B shall be answerable and responsible for any consequence of any breach of local ordinance.
5、 乙方須正確維護(hù)該物業(yè)內(nèi)甲方所提供之家具、電器、裝置及設(shè)備、該物業(yè)之原來一切設(shè)
備如有因非正當(dāng)使用造成的損壞，乙方須負(fù)責(zé)修理或賠償。
To keep the interior of the said premises and furniture, fixtures and fittings provided by Party A in condition of normal use throughout the tenancy, if any damages made by any abnormal use, Party B is responsible for the repair or reimbursement.
6、 乙方不得拒絕甲方派譴之人員，在適當(dāng)時(shí)間入屋檢視該單位近況或進(jìn)行任何修理工程。
Party B shall permit Party A and its agents with or without workmen or others and with or without appliances at all reasonable times to enter upon the said premises and to view the condition thereof and to take inventories of the fixtures therein and to carry out any repairs to the premises which Party A considers necessary or proper to be done.
7、 當(dāng)租約期滿或終止前X個(gè)月，甲方有權(quán)在不騷擾原則下, 張貼招租告示于該單位外,
乙方亦應(yīng)準(zhǔn)許甲方/代理人在合理時(shí)間內(nèi)，帶同新租客進(jìn)入該物業(yè)視察。

8、 租約期滿，乙方如需延長租約，須在租約期滿 X 個(gè)月前以書面方式通知甲方，經(jīng)甲

Party B shall himself cover insurance for his own belongings against Typhoon, Depression, Storm, Flood, Fire, Theft, Accidents, etc. in relation to this Tenancy. Party A shall not be responsible for any damage or loss under all circumstances.

To be packed in new strong wooden case(s) suitable for long distance air/land transportation and well protected from dampness, moisture, shock, rust and rough handling. The Sellers shall be liable for any damage to the goods on account of improper packing and for any rust damage and break damage attributable to inadequate or improper protective measures taken by the Sellers, and in such case or cases any and all losses and / or expenses incurred in consequence thereof shall be borne by the Sellers. One full set of service and operation manuals concerned shall be enclosed in the case(s). The wood packaging the Seller used shall be fumigated and marked with “IPPC” on the surface of wood packaging.

(15) 裝運(yùn)通知：SHIPPING ADVICE：
The Sellers shall fax to the Buyer the Readiness Notification one week before the goods to be shipped.

The Sellers shall, immediately upon the completion of the loading of the goods in 24 hours, send the Buyers Air Waybill, Invoice and Packing list by fax.
裝運(yùn)通知：賣方應(yīng)在貨物裝運(yùn)完畢后24小時(shí)內(nèi)用傳真將空運(yùn)單、發(fā)票和裝箱單發(fā)給買方。
如賣方未按時(shí)向買方通知上述裝運(yùn)情況所導(dǎo)致?lián)p失由賣方承擔(dān)。
Losses shall be borne by the Sellers in case the Sellers don’t inform the Buyers of the above shipping status on time.
(16) 質(zhì)量保證：GUARANTEE OF QUALITY:
賣方保證訂貨系用最上等的.材料和頭等工藝制成，全新的，未曾使用過的, 并完全符合本合同規(guī)定的質(zhì)量、規(guī)格和性能。賣方并保證本合同訂貨在正確安裝、正常使用和維修的情況下，自安裝之日起十二個(gè)月或貨物裝運(yùn)之日起十五個(gè)月內(nèi)運(yùn)轉(zhuǎn)良好，以先到期者為準(zhǔn)。由于人為造成的、易損易磨件除外。
The Sellers shall guarantee that for a period of 12 months calculated from the date of installation or 15 months starting from the date of shipment, whichever is the earlier. Faults due to mal-operation as well as wear and tear parts are excluded.
(17) 遲交貨及罰款：LATE DELIVERY AND PENALTY
除合同第16條人力不可抗拒事故外，如賣方不能按合同規(guī)定的時(shí)間交貨，買方應(yīng)同意賣方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時(shí)扣除，罰款率按每7天收0.5%，不足7天時(shí)以7天計(jì)算。但罰款不得超過遲交貨物總價(jià)的5%。如賣方延期交貨超過合同規(guī)定10周時(shí)，買方有權(quán)撤消合同，此時(shí)，賣方仍應(yīng)不遲延地按上述規(guī)定向買方支付罰款。
買方有權(quán)對(duì)因此遭受的其它損失向賣方提出索賠。
Should the Sellers fail to make delivery on time as stipulated in the Contract, with the exception of Force Major causes specified in Clause 16 of this Contract, the Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. The penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery, the rate of penalty is charged at 0.5% for every seven days, odd days less than seven days should be counted as seven days. In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyers shall have the right to cancel the contract and the Sellers, in spite of the cancellation, shall still pay the aforesaid penalty to the Buyers without delay. The buyer shall have the right to lodge a claim against the seller for the losses sustained if any.
(18) 檢驗(yàn)和索賠: INSPECTION AND CLAIMS:
如發(fā)現(xiàn)貨物的品質(zhì)、數(shù)量/重量與本合同不符, 買方有權(quán)在貨物到達(dá)目的地后60天內(nèi)根據(jù)中華人民共和國出入境檢驗(yàn)檢疫局出具的商檢證書向賣方提出索賠。由承運(yùn)人和保險(xiǎn)公司負(fù)責(zé)的賠償除外。
If the quality and/or quantity/weight be found not in conformity with the present contract, the Buyer shall be entitled to lodge claims with the Seller on the basis of the Certificate issued by China Exit and Entrance Inspection and Quarantine Bureau within 60 days after the goods arrival in the destination. With the exception, however, of those claims for which the carrier and/or insurance company are to be held responsible.
(19) 人力不可抗拒事故：FORCE MAJEURE：
由于人力不可抗拒事故，而賣方交貨延遲或不能交貨時(shí)，責(zé)任不在賣方，但賣方應(yīng)立即將事故通知買方，并于事故發(fā)生后十四天內(nèi)將事故發(fā)生地政府主管機(jī)關(guān)出給的事故證明書用空郵寄交買方為證，并取得買方認(rèn)可。在上述情況下，賣方仍負(fù)有采取一切必要措施從速交貨的責(zé)任。如果事故持續(xù)超過十個(gè)星期買方有權(quán)撤銷本合同。
The Sellers shall not be held responsible for any delay in delivery or non-delivery of the goods duo to Force Majeure. However, the Sellers shall advise the Buyers immediately of such occurrence and
within fourteen days thereafter, shall send by airmail to the buyers for their acceptance a certificate
issued by the competent government authorities of the place where accident occurs as evidence
thereof. Under such circumstances the Sellers, however, are still under the obligation to take all
necessary measures to hasten the delivery of the goods. In case the accident lasts for more than ten
weeks, the Buyers shall have the right to cancel this Contract.
(20) 仲裁：ARBITRATION:
凡因執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭議，應(yīng)由雙方通過友好協(xié)商予以解決，應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)根據(jù)中國國際經(jīng)濟(jì)貿(mào)易仲裁規(guī)則進(jìn)行仲裁，仲裁裁決是終局的，對(duì)雙方都有約束力。
All disputes arising from the execution of or in connection with this contract, shall be settled amicably through friendly negotiation. In case no settlement can be reached through negotiation the case shall then be submitted to China International Economic and Trade Arbitration Commission in Shanghai arbitration in accordance with The Rules of Arbitration of China International Economic & Trade Commission. The award rendered by the said commission shall be final and binding upon both parties.
（21）通知 NOTICE
所有通知用中/英文寫成，按照合同所列地址用傳真/快遞送達(dá)給各方。如果地址有變更，一方應(yīng)在變更后3日內(nèi)書面通知另一方。
All notice shall be written in Chinese or English and served to both parties by fax/courier according to the addresses shown in this contract. If any changes of the addresses occur, one party shall inform the other party of the change of address within 3 days after the change.
(22) 其他 MISCELLANEOUS

第一條：合約期限Article 1: Period of Engagement

The performance programs: SINGING show, Party B should cooperate with the arrangement of the club to make the show, need to work with other artists in the club.
2.每天工作時(shí)間為 22:00 至次日凌晨02:30，包括休息，化妝和換裝的準(zhǔn)備時(shí)間。每位藝人需化妝且著好演出服于演出前30分鐘就位。
Party B is to work from 22:00 --02:30, including call times and prep time. All artists must ready with makeup and costumes and standby 30 minutes before the performance.
3.乙方每天演出2節(jié)，每節(jié)6首歌。每天演出時(shí)長總計(jì)30分鐘內(nèi)； 必須配合甲方演出形式的安排；

5.排練時(shí)間：需服從甲方安排，甲方將會(huì)提前通知乙方彩排時(shí)間。

6. 乙方在入境中國前必須準(zhǔn)備好 6 套不同的演出服裝，30首符合酒吧演出需求的演唱曲目，包括編舞，音樂，道具等，演員需自備演出高跟鞋，要求黑色同款，需自備黑色絲襪，內(nèi)衣褲等。
Party B should provide 6 different costumes and 30 songs which needed at Clubs before come to China (including Finished choreographer, costumes, music, props and etc) and shall ensure sexy and hot shinning stage costumes, Party B artists shall prepare the high heels, black long socks, underwear for show, which must match with the costumes.
7. 簽約后3日內(nèi)，乙方須將辦理工作簽證所需的資料（45分鐘排練視頻，彩色護(hù)照及簽證掃瞄件）及高清宣傳照片傳至甲方.
Within the 3 days after sign the contract, Party B must send all the material needed for work permit to Party A (including 20 min rehearsal video, colored passport and visa scanned copies) and High quality promotional photos to Party A.
8.演出地點(diǎn)：全國，乙方需要配合工作地點(diǎn)的調(diào)動(dòng)。

第三條：付款及薪酬Article 3: Remuneration
（一）、演出報(bào)酬P(guān)erformance salary:
1、演出報(bào)酬：甲方同意支付乙方表演費(fèi)用稅后美金20xx美金/月/人。

2、乙方每月帶薪休息2 天。休息日不會(huì)為周五或周六及中國的重大節(jié)假日。每月的休息日不可沿用至下個(gè)月使用。計(jì)薪時(shí)間從演出之日起計(jì)算（如果沒有演出，第五天起都應(yīng)當(dāng)計(jì)薪），到達(dá)中國當(dāng)天為休息日，無薪；
Party B has 2 Days off per month with salary, If the artists not take the day offs, daily salary will be refund for the day offs not take as compensation. Day off will not be Friday, Saturday or major holidays in China. Unused day offs can not be continued to the next month. The salary will be counted from the first working day, if not work, the salary will be counted on the fifth day after arrival. The first day of arrival is for rest, no salary.
3、員工做滿一年可以享受6天帶薪休假。
After one year work in HZ agency, Party B will have 6 days vacation with salary.

Party A provides Party B all performance related domestic and international economy class air transport, Boat, bus or train tickets, Party B must strictly follow the schedule arranged by Party A, and arrive at the assigned location on time, otherwise Party B will be regarded have an action of breach of contract. 2、非演出日行程：非演出日，乙方進(jìn)行與演出無關(guān)的旅行、游玩等活動(dòng)的，乙方應(yīng)當(dāng)提前2周征得甲方同意，并確保能及時(shí)返回參加甲方安排的彩排和演出，以便甲方對(duì)演出安排做出合理調(diào)整。同時(shí)，在此期間，乙方發(fā)生任何意外事件，若涉及其應(yīng)當(dāng)承擔(dān)法律責(zé)任的，由乙方自負(fù)，與甲方無關(guān)。導(dǎo)致甲方負(fù)連帶責(zé)任的，甲方有權(quán)向乙方追償。
Schedule for Non-performance days: Party B shall notice Party A two weeks in advance in case of going out for activities unrelated with performance, such as traveling and etc, Party B can go only with the approval of Party A. Party B shall assure to come back on time for the rehearsals and performances arranged by Party A. In the mean time, in case Party B has any accident, fines, police levies, legal related issues or other financial hardships incurred during this time, its Party B’s responsibility, and thus caused Jointly and Severally Liable For Party A, Party A has the right to recover the loss from Party B.

乙方每場演出當(dāng)天獲得1支飲用水，2 杯雞尾酒飲料。

1、此協(xié)議期間如乙方為駐場演出時(shí)，甲方提供一間單間的符合標(biāo)準(zhǔn)的宿舍，每間房住1人；住房配套齊全，包括洗衣機(jī)、電視機(jī)、等家電. 甲方支付公寓的租金和物業(yè)管理費(fèi)，公用事業(yè)費(fèi)用: 電費(fèi),水費(fèi),煤氣費(fèi),公司給予200元／人標(biāo)準(zhǔn)，超出部分費(fèi)用將由乙方與室友平攤。乙方必須合法使用該住房，任何在住房內(nèi)的人身、財(cái)產(chǎn)安全、擾民投訴均由乙方承擔(dān)負(fù)責(zé)，由此造成甲方損失的，甲方有權(quán)向乙方追償。
During this agreement period, when party B work as resident performance, Party A will provide one standard apartment (1 person share one room) with complete facilities, including washing machine, TV, other electronic appliances for duration of stay. Party A pay for apartments rent fee and property management fees, as for public fees: Electricity, water, gas, the company offer 200RMB/person for free as standard usage, over used fees Party B need to share with roommates. Party B must legitimate use this apartment, Party B is responsible for any personal and property safety within the apartment, No disturb to the neighbors. In case any loss caused, Party A has the right to recover from Party B.
2、此協(xié)議期內(nèi)如派乙方于除集團(tuán)內(nèi)娛樂場所以外的演出，甲方為乙方提供雙人間酒店，除預(yù)先核準(zhǔn)的正餐外，其他服務(wù)項(xiàng)目所產(chǎn)生的費(fèi)用由乙方自行承擔(dān)。住宿酒店期間乙方需自行支付的項(xiàng)目包括但不限于：迷你酒吧，收費(fèi)電視，客房服務(wù)，電話，互聯(lián)網(wǎng)，傳真，按摩，健身俱樂部，美容美發(fā)廳，KTV，香煙，洗衣房，小費(fèi)等.
During this agreement period, if Party B perform in clubs which not belong to HZ club groups, Party A need to provide Party B with standard hotel rooms (one room with 2 beds), accept for pre-approved meals, Party B need to bear other service fees. During live in hotel period, Party B need to pay for projects but not limited to: mini bars, Pay TV, room service, telephone, Internet, fax, massages, gym, beauty salon, KTV, cigarettes, laundry, tips etc.
（五）、簽證& 護(hù)照Visa & Passport
1、為保證演出按時(shí)進(jìn)行，乙方應(yīng)于離他們所在城市最近的中國大使館自行獲得中國單次或多次入境簽證（旅行簽證），甲方承擔(dān)乙方首次入境中國簽證（旅行簽證）的費(fèi)用。乙方入境中國后，甲方支付乙方簽證費(fèi)用. 乙方須提供甲方中國大使館開據(jù)的發(fā)票方可進(jìn)行實(shí)報(bào)實(shí)銷.（甲方不承擔(dān)任何簽證加急費(fèi)和旅行社中介費(fèi)）。乙方來華后辦理工作簽證由甲方負(fù)責(zé)。
To ensure the performance is held on time, Party B shall get China single or multiple entry visa (tourist L visa) in the nearest Chinese embassy. Party A will reimburse Party B for Visa application fees for the first time entering China from the mother country of the Artist upon presentation of the official receipts from Chinese Embassy after Party B’s arrival to China. Party A will pay according to the amount on the invoices. (Party A will not bear any urgency visa fee or travel agency fee). Party A will be responsible for issuing the work visa for Party B after their arrival to China.
2、乙方入境中國后，此協(xié)議期間甲方協(xié)助乙方獲得中國演出許可證及此協(xié)議相關(guān)的后續(xù)續(xù)簽所需材料.
After Party B’s arrival to China, during the contract period, Party A shall assist Party B to get the required materials for China's performance license and work permit.
3、乙方必須保證所持護(hù)照在有效期之內(nèi)并且能在出入中國時(shí)使用.
Party B must ensure their passports are within the validity period and can be used to enter and leave China.
4、如在巡演旅行期間，乙方如遺失護(hù)照或其他旅行證件，補(bǔ)辦費(fèi)用自理，并承擔(dān)一切其他后果。
During the tour performance period, in case Party B lost the passport or other traveling certificates, Party B need to handle it by oneself and bear all costs and consequences.
?。?、通訊方式Communication Method
1、乙方在此協(xié)議期間必須保持手機(jī)／網(wǎng)絡(luò)通訊暢通，保證甲方能夠隨時(shí)與乙方聯(lián)系
During the contract period, Party B need to keep mobile /network communication work, to ensure Party A is able to contact with Party B in time.
2、合同期內(nèi)，雙方確認(rèn)工作指令通常以電子郵件方式發(fā)出，乙方指定收取工作指令的途徑為：電子郵件、短信、微信及手機(jī).甲方一旦發(fā)出指令，即視為乙方知曉并遵守該指令，該等工作指令均為本合同之附件，與本合同具有同等法律效力.
During the contract period, both sides acknowledged that work instruction is usually made via E-mail, mobile messages, wechat messages and phone call. As long as Party A issue an order through the communicate methods listed above, Party B will be regarded as received and will comply with the instructions, these instructions are the annex to this contract and has the same legal effects as this contract.
第四條：甲方責(zé)任Article 4: Responsibility of Party A
1.甲方負(fù)責(zé)依本合同約定安排乙方前往指定的演出場所演出。甲方有權(quán)為乙方制定整體演出規(guī)劃，進(jìn)行有關(guān)安排和實(shí)施，甲方對(duì)此具有最終決策權(quán)；
Party A is responsible to arrange the performances for Party B. Party A has the right to make the overall performance plan ,make related arrangement and implementation for Party B, Party A has the right to make the final decision.
2、本合約期間，甲方為乙方中國境內(nèi)唯一合作對(duì)象，甲方有權(quán)安排乙方所有的演出，未經(jīng)甲方書面同意，乙方不得與任何第三方進(jìn)行任何形式的演出。
During the contract period, Party B shall only work with Party A, Party A has the right to arrange all the performances for Party B, Party B must not perform with any other third party without the written consent of Party A.
3、甲方有權(quán)對(duì)乙方的表演質(zhì)量進(jìn)行監(jiān)督，并提出建議和整改要求，對(duì)暫不符演出質(zhì)量要求的可以給予暫離合作崗位進(jìn)行培訓(xùn)的處理，如培訓(xùn)后仍不能履行本協(xié)議約定的合作事項(xiàng)，甲方有權(quán)解除本協(xié)議；
Party A has the right to control the performance quality of Party B, give suggestions and requirements if needed. For the artists whose performance quality can not meet the requirement, Party A has the right to stop the work and start a training process for the artist. In case Party B still unable to perform as required after training, Party A has the right to terminate this agreement.
4.確保乙方在正常演出中的人身及財(cái)產(chǎn)安全，如因演出過程中演出場所的治安管理造成乙方演職人員受傷，甲方應(yīng)負(fù)責(zé)支付相關(guān)費(fèi)用（因乙方自身的過錯(cuò)造成的傷害除外）。
Party A ensures to provide safe and healthy working environment, which accord with state regulations, to ensure the personal and property safety of Party B to work without harmful environmental conditions. In case Party B has physical injury due to the security management issue of the venue, Party A is responsible to cover the costs. Except the injuries caused by the mistake of Party B.
5乙方藝人自身身體能力有限達(dá)不到甲方場地需要的基本工作要求，經(jīng)過調(diào)整仍然無法正常滿足演出要求的。乙方藝人長時(shí)間不提高自身業(yè)務(wù)水平與演出質(zhì)量, 水平停留不動(dòng), 表演質(zhì)量處于同一種狀態(tài)或不能達(dá)到要求無法滿足客戶與時(shí)俱進(jìn)要求的，甲方有權(quán)解除本協(xié)議。
Because of Party B’s own physical limitation that can not meet the basic job requirements of Party A’s venue, and after adjustment still can not satisfy the performance requirement; and If Party B not improve their professional skills and performance quality for a long time, and the performance quality stays in same status and unable to satisfy customers requirements, Party A has the right to terminate this agreement.
第五條：乙方責(zé)任Article 5: Responsibility of Party B
1、 所有演出內(nèi)容, 演出時(shí)間, 演出行程表, 以及可能出現(xiàn)的不可預(yù)計(jì)臨時(shí)調(diào)整將始終由甲方負(fù)責(zé)并最終決定，乙方必須遵守，始終配合并執(zhí)行甲方制定的演出計(jì)劃，試音彩排，以及行程時(shí)間表。
All performance content, Performance time, performance schedules, and unpredictable temporary adjustment of the show will be at all times arranged by Party A, Party B must comply and cooperate with the performance schedules, interview rehearsal and all performance related plans made by Party A.
2、乙方不得在舞臺(tái)上抽煙或飲酒，同時(shí)乙方必須在舞臺(tái)上或旅途中及甲方客戶面前保持良好的品行與團(tuán)隊(duì)精神，同時(shí)，不得在公眾場所作出任何有損形象的事情。
Party B should not smoke or drink on the stage, meanwhile when Party B accepts this job, professional competence is only half of what the Artiste needs to bring. The other half is a good attitude and a willingness to complete his/her agreement to the best of his/her ability. Management agrees to honor all of the terms of this contract and do their best to see that the Artiste is treated in a professional and respectful manner at all times, to the best of their ability.
3、乙方有義務(wù)告知甲方任何第三方企圖干涉或預(yù)訂乙方工作的行為。當(dāng)甲方確認(rèn)第三方情況屬實(shí)，收到第三方預(yù)定確認(rèn)合同和全額付款后，乙方享有甲方的80美金獎(jiǎng)勵(lì).
Party B has obligation to inform Party A the behavior of any third party attempting to interfere or booking Party B. when Party A confirm the situation is true, and get the booking confirmation contract and full payment from the third party, Party B will be rewarded 80USD.
5、乙方須遵守中國法律，嚴(yán)禁吸毒，盜竊，色情和暴力活動(dòng), 不得有任何違法犯罪行為。否則，甲方有權(quán)解除合同.
This contract is governed by the laws of the People’s Republic of China. Party B must not take drugs, involve in the violent and Pilferage behavior or do the prostitute activities. In this case, the contract between the artist and the company will be terminated.
6、乙方必須負(fù)責(zé)在演出開始及結(jié)束后的安裝，測試，打包所有乙方演出相關(guān)的樂器及設(shè)備，如：音樂CD，U盤，服裝，樂器，效果器等。如果乙方因操作失誤而導(dǎo)致甲方或第三方的相關(guān)物品損壞或遺失，乙方將承擔(dān)全部責(zé)任。同時(shí)乙方應(yīng)自行負(fù)責(zé)保管好旅途或演出途中所攜帶一切私人與演出物品的安全。
Party B shall be responsible for the installation, test, packing all the related musical instruments and equipment before and after the show. Such as: CD, USB disk, costumes, musical instruments, effects units and etc. If the items are lost or broken by the operational error of Party B, Party B will bear full responsibility. At the same time Party B should keep good care of all the personal and performance stuff during traveling period.
7、本合同簽訂之前，若乙方與甲方之外的國內(nèi)或國外的任何第三方簽訂有演出合同、經(jīng)紀(jì)合同、代理合同等，則由乙方自行處理解約事宜及承擔(dān)上述合同解除的法律責(zé)任，與甲方無關(guān)，造成甲方損失的'，甲方有權(quán)追究乙方的違約責(zé)任。
Before this contract is signed, if party B has performance/agent/and other contracts with other third party, Party B shall dissolute their contracts and bear all the legal liabilities with others, Party A has nothing to do with it, in case caused loss to Party A, Party B should bear all the compensation.
8、在合約期內(nèi)，非經(jīng)甲方書面同意，乙方在非甲方指定的場所演出一次，則屬乙方嚴(yán)重違約，乙方應(yīng)賠償甲方損失3000美金/次。
During the contract period, in case Party B performs in places not assigned by Party A without the written consent from Party A, Party B is severely breach the contract, Party B should compensate Party A for 3000USD/show.
9、乙方承諾在合約期間，不得自行去合縱文化集團(tuán)旗下以外的娛樂場所玩耍。違者一經(jīng)發(fā)現(xiàn)，應(yīng)支付 300美金/次的違約金。如乙方在其他娛樂場所出現(xiàn)意外情況，甲方一概不承擔(dān)任何責(zé)任。
During the contract period, Party B promised not to go to the entertainment places outside the Alliance Art Group (Truecolor and Soho clubs), offenders will be fined 300USD each time. If party B has any incident in these entertainment places, Party A has no responsibility.
第七條 合同的評(píng)估，終止和注銷 Evaluation, Termination and Cancellation of Contract
1.如果乙方因生病導(dǎo)致不能完成約定的演出任務(wù)時(shí)，乙方必須提供三甲醫(yī)院證明。任何無醫(yī)院證明的病假甲方將從其當(dāng)月應(yīng)當(dāng)發(fā)放的總月報(bào)酬中扣除2天工作日?qǐng)?bào)酬。每發(fā)生一次，扣除一次。違反三次及以上的,甲方有權(quán)解除本合同.
If Party B is unable to attend work for reasons of illness, then certification from 3A hospital should be presented. Any sick leave without the hospital certification, Party A will deduct 2 working days’ salary from Party B’s month salary. This amount will be deducted for each time occurred, if this situation happened for more than 3 times, Party A has the right to terminate this agreement.
2、甲方根據(jù)乙方的表現(xiàn)，及客戶或場地方的反饋，保留持續(xù)評(píng)估乙方才能以及適當(dāng)性的調(diào)整權(quán)利.
According to Party B’s performance behavior and customers and location feedback, Party A has the right to retain the continuous evaluation of Party B’s ability and make appropriate adjustments.
3、因乙方違反合同約定，造成甲方損失，應(yīng)支付違約金、賠償金或其他任何費(fèi)用的，甲方有權(quán)在乙方演出報(bào)酬中優(yōu)先予以扣除。
In case Party B breach of the contract and caused loss from Party A which need pay for the liquidated damages, compensation or any other fees, Party A has the right to cut from Party B’s performance salary.
4、不論因何種原因?qū)е潞贤K止或無效的，甲方有權(quán)注銷乙方簽證。
In case of termination of the contract for whatever reason, Party A has the right to cancel the visa of Party B
第八條：責(zé)任免除 Article 8 : Exclusion of liability
如不可抗力因素（戰(zhàn)爭、重大政治事件、疫情）的發(fā)生使雙方無法履行本演出合約時(shí)，本合約終止。
Any cause beyond either party’s control including, but not limited to, acts of government or any public authority, strikes, lockouts, fire, war, civic commotion and etc, The contract can be terminated naturally.
第九條：爭議的解決方式Article 9: Dispute Resolution
本合約履行過程中，若甲、乙雙方發(fā)生爭議，應(yīng)由甲、乙雙方協(xié)商解決；經(jīng)雙方協(xié)商無法解決，則甲、乙雙方均有權(quán)向甲方所在地人民法院提起訴訟。
If any disputes happen when conducting this contract, both sides will negotiate and solve disputes friendly first, if both sides cannot get any settlement, both parties have the right to file a suit to the local people’s court.
第十條：其他Article 10: Others
1.本合約自甲、乙雙方簽字蓋章之日起生效。
This contract will come into force after both Parties sign and stamped.
2.本合約一式兩份，雙方各執(zhí)一份，打印件/電子郵件/傳真件具有同等法律效力。
This contract is in duplicate; both sides hold one copy, Print/email/fax copies of this agreement has the same legal force.
3、本合同適用《中華人民共和國合同法》及相關(guān)法律法規(guī)調(diào)整，本合同中文條款與英文條款一致，如果二者不一致，本合同無效。
This contract applies to the “ Contract Law of the People's Republic of China” and relevant laws and regulations, Chinese contract terms are identical to the English contract terms or contract is not valid.
