托人有限公司，委托代理人 有限公司代理出口 產(chǎn)品，現(xiàn)達(dá)成以下條款:，以資雙方共同遵守：
1.委托人義務(wù)
1.1 如實(shí)提供與訂立協(xié)議有關(guān)的主要事實(shí)和情況;
1.2 對(duì)本協(xié)議以及代理人根據(jù)本協(xié)議與國外買方簽訂的外銷合同的條款進(jìn)行充分的了解, 對(duì)各方的權(quán)利義務(wù), 各方免除或者限制各自責(zé)任的條款有充分的注意。
2.代理人義務(wù):
2.1 如實(shí)提供與訂立協(xié)議有關(guān)的主要事實(shí)和情況;
2.2 采取合理的方式提請(qǐng)委托人注意免除或限制其責(zé)任的條款,并按委托人的要求,對(duì)該條款予以說明。
2.3 對(duì)外成交后，及時(shí)將外銷合同副本送交委托人。
2.4 辦理出口所需的商檢，報(bào)關(guān)，對(duì)外運(yùn)輸，并對(duì)外議付。
2.5 根據(jù)外銷合同收到外商的付款后,在七個(gè)工作日內(nèi)按照付款當(dāng)日銀行公布的外匯買入價(jià),將外匯折算成人民幣支付給委托人
3.外銷合同
(1)接受代理人現(xiàn)采用的商品外銷標(biāo)準(zhǔn)正本合同的固定條款。承認(rèn)代理人代表委托人承擔(dān)這些合同條款對(duì)
(2)收到代理人交來的外銷合同副本后，立即進(jìn)行核對(duì)。
4.出口貨物
(1)委托人提供的貨物應(yīng)符合本協(xié)議規(guī)定的數(shù)量、質(zhì)量、和規(guī)格，并
(2)提供貨物的品質(zhì)證明文件。
5.費(fèi)用
(1)委托人承擔(dān)代理人因代理出口產(chǎn)生的運(yùn)輸費(fèi)、商檢費(fèi)、港口運(yùn)雜費(fèi)、倉儲(chǔ)費(fèi)、報(bào)關(guān)費(fèi)、保險(xiǎn)費(fèi)及銀行手續(xù)費(fèi)等有關(guān)費(fèi)用。
(2)根據(jù)實(shí)際出口貨物的數(shù)量計(jì)算總貨款，并根據(jù)此總貨款向代理人支付___%的代理費(fèi)。
(3)上述的費(fèi)用及代理費(fèi)需在代理協(xié)議簽訂后__日內(nèi)交付。
6.違約責(zé)任:
(一)委托人必須嚴(yán)格執(zhí)行本協(xié)議: 若由于委托人原因未能在港口當(dāng)局規(guī)定期限內(nèi)辦理報(bào)關(guān)、納稅、商檢、發(fā)運(yùn)等有關(guān)手續(xù), 由此引起的一切后果由委托人自行負(fù)責(zé)。 因委托人違約給代理人造成損失的，需向代理人給付總貨款___%的違約金。若違約金不足補(bǔ)償代理人的損失, 委托人還需向代理人補(bǔ)足不足部分的損失。
(二)代理人必須嚴(yán)格執(zhí)行本協(xié)議: 因外商原因?qū)е峦怃N合同延遲履行、不完全履行或不能履行時(shí), 使代理人不能履行本代理協(xié)議的, 代理人不承擔(dān)責(zé)任。但在委托人書面提出要求并提供費(fèi)用及協(xié)助下, 代理人有義務(wù)向外商交涉索賠。
7.爭(zhēng)議解決
若產(chǎn)生爭(zhēng)議, 雙方需友好協(xié)商。若協(xié)商不成, 任何一方可向蘇州仲裁委員會(huì)申請(qǐng)仲裁。
8.協(xié)議效力
本協(xié)議一式兩份, 具有同等的法律效力。自協(xié)議雙方簽字和/或蓋章之日起生效。

The packing of the goods shall be preventive from dampness, rust, moisture, erosion and shock, and shall be suitable for ocean transportation/ multiple transportation. The Seller shall be liable for any damage and loss of the goods attributable to the inadequate or improper packing. Force Majeure：
Either party shall not be held responsible for failure or delay to performall or any part of this agreement due to flood, fire, earthquake, draught, waror any other events which could not be predicted, controlled, avoided orovercome by the relative party. However, the party affected by the event ofForce Majeure shall inform the other party of its occurrence in writing as soonas possible and thereafter send a certificate of the event issued by therelevant authorities to the other party within 15 days after its occurrence.
18仲裁：
在履行協(xié)議過程中，如產(chǎn)生爭(zhēng)議，雙方應(yīng)友好協(xié)商解決。若通過友好協(xié)商未能達(dá)成協(xié)議，則提交中國國際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)，根據(jù)該會(huì)仲裁程序暫行規(guī)定進(jìn)行仲裁。該委員會(huì)決定是終局的，對(duì)雙方均有約束力。仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。
Arbitration
All disputes arising from the execution of this agreement shall be settledthrough friendly consultations. In case no settlement can be reached, the casein dispute shall then be submitted to the Foreign Trad Arbitration Commission ofthe China Council for the Promotion of International Trade for Arbitration inaccordance with its Provisional Rules of Procedure. The decesion made by thiscommission shall be regarded as final and binding upon both parties. Arbitrationfees shall be borne by the losing party, unless otherwise awarded.

11.裝運(yùn)通知：一俟裝運(yùn)完畢，賣方應(yīng)即電告買方合同號(hào)、品名、已裝載數(shù)量，發(fā)票總金額，毛重，運(yùn)輸工具名稱及啟運(yùn)日期等。
Shipping advice ： The sellers shall immediately ， upon the completion of the loading of the goods ， advise the buyers of the Contract No ， names of commodity ， loaded quantity ， invoice values ， gross weight ， names of vessel and shipment date by TLX/FAX.
12.檢驗(yàn)與索賠：Inspection and Claims：①賣方在發(fā)貨前由 檢驗(yàn)機(jī)構(gòu)對(duì)貨物的品質(zhì)、規(guī)格和數(shù)量進(jìn)行檢驗(yàn)，并出具檢驗(yàn)證明書。
The buyers shall have the qualities ， specifications ， quantities of the goods carefully inspected by the Inspection Authority ， which shall issue Inspection Certificate before shipment.②貨物到達(dá)目的的口岸后，買方可委托當(dāng)?shù)氐纳唐窓z驗(yàn)機(jī)構(gòu)對(duì)貨物進(jìn)行復(fù)檢。如果發(fā)現(xiàn)貨物有損壞、殘缺或規(guī)格、數(shù)量與合同規(guī)定不符，買方須于貨到目的口岸的 天內(nèi)憑 檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明書向賣方索賠。
The buyers have right to have the goods inspected by the local commodity inspection authority after the arrival of the goods at the port of destination. If the goods are found damaged / short / their specifications and quantities not in compliance with that specified in the contract， the buyers shall lodge claims against the sellers based on the Inspection Certificate issued by the Commodity Inspection Authority within days after the goods arrival at the destination.③如買方提供索賠，凡屬品質(zhì)異議須于貨到目的的口岸之日起 天提出;凡屬數(shù)量異議須于貨到目的口岸之日起 天提出。對(duì)所裝貨物所提任何異議應(yīng)由保險(xiǎn)公司、運(yùn)輸公司或郵遞機(jī)構(gòu)負(fù)責(zé)的，賣方不負(fù)任何責(zé)任。
The claims ， if any regarding to the quality of the goods shall be lodged within days after arrival of the goods at the destination ， if any regarding to the quantities of the goods ， shall be lodged within days after arrival of the goods at the destination . The sellers shall not take any responsibility if any claims concerning the shipping goods is up to the responsibility of Insurance Company / Transportation Company /Post Office.
13.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負(fù)責(zé)，但賣方應(yīng)將上述發(fā)生的情況及時(shí)通知買方。
Force Majeure ： The sellers shall not hold any responsibility for partial or total non-performance of this contract due to Force Majeure . But the sellers shall advise the buyers on times of such occurrence.
14.爭(zhēng)議之解決方式：Disputes settlement ：□任何因本合同而發(fā)生或與本合同有關(guān)的爭(zhēng)議，應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國深圳。仲裁裁決是終局的，對(duì)雙方均有約束力。
All disputes arising out of the contract or in connection with the contract ， shall be submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its Rules of Arbitration in ShenZhen ， China . The arbitral award is final and binding upon both parties.□
15.法律適用Law application ：本合同之簽訂地、或發(fā)生爭(zhēng)議時(shí)貨物所在地在中華人民共和國境內(nèi)或被訴人為中國法人的，適用中華人民共和國法律，除此規(guī)定外，適用《聯(lián)合國國際貨物銷售公約》。

In case of quality discrepancy， claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination， while for quantity discrepancy， claim should be filed by the Buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company， Shipping Company， other Transportation Organization /or Post Office are liable.
11. 由于發(fā)生人力不可抗拒的原因，致使本合約不能履行，部分或全部商品 延誤交貨，賣方概不負(fù)責(zé)。本合同所指的不可抗力系指不可干預(yù)、不能避免且不 能克服的客觀情況。
The Seller shall not be held responsible for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents which might occur. Force Majeure as referred to in this contract means unforeseeable， unavoidable and insurmountable objective conditions.
12. 仲裁(Arbitration)：
因凡本合同引起的或與本合同有關(guān)的任何爭(zhēng)議，如果協(xié)商不能解決，應(yīng)提 交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)深圳分會(huì)。按照申請(qǐng)仲裁時(shí)該會(huì)當(dāng)時(shí)施行的仲裁 規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。
Any dispute arising from or in connection with the Sales Contract shall be settled through friendly negotiation. In case no settlement can be reached， the dispute shall then be submitted to China International Economic and Trade Arbitration Commission (CIETAC) ，Shenzhe Commission for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.
13. 通知(Notices)：
所有通知用___文寫成，并按照如下地址用傳真/電子郵件/快件送達(dá)給各方。如果地址有變更，一方應(yīng)在變更后___日內(nèi)書面通知另一方。
